Terms of Service
Welcome to Chartered.Work. These Terms of Service (“Terms”) govern your use of the Chartered.Work website and all associated services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Definitions
- “Platform” refers to the Chartered.Work website, its subpages, and any related services, tools, or features.
- Client refers to any user who initiates or funds a project on the Platform.
- Contractor refers to any user who lists or performs services for a project on the Platform.
- “User” or “you” means any individual or organization accessing the Platform, including Clients and Contractors.
- “Organization” refers to a business entity or similar group using the Platform with an Organizational account.
2. Acceptance of These Terms
By creating an account or otherwise accessing the Platform, you affirm that you have read, understood, and agree to abide by all provisions of these Terms and any other policies referenced herein, including our Privacy Policy and SMS Use Policy. If you do not agree with these Terms, the Privacy Policy, or the SMS Use Policy, you must discontinue use of the Platform.
3. Eligibility
- You must be at least the age of majority in your jurisdiction to use the Platform.
4. Account Registration & Security
- All users must provide accurate and complete information during registration. You are responsible for updating account data (such as contact or address changes).
- You are responsible for safeguarding passwords or multi-factor authentication details. The Platform is not liable for unauthorized access caused by user negligence.
5. User Roles
The Platform supports role-based access:
- Client: Initiates project requests and collaborates with Contractors.
- Contractor: Publishes offerings and performs work for Clients.
- Users may hold multiple roles over time.
6. Project Requests, Proposals & Contracts
- Creation: A Client initiates a request (often from a direct conversation or a Project Blueprint) by describing scope, timing, and required details.
- Proposals and Quotes: A Contractor may respond with a Proposal and a Quote. If accepted, the Platform records a Project and its initial milestones/deliverables.
- Payment Confirmation Gate: The Platform does not process payments. Projects do not start until the Contractor confirms payment is received, and the Platform may block “start work” actions until that confirmation is recorded.
- Deliverables & Milestones: Parties define one or more milestones. Deliverables are tracked on the Platform for clarity and auditability.
- Contractual Relationship: The contract for services is directly between the Client and Contractor, with the Platform acting solely as a venue.
7. Payments
The Platform does not process payments or hold funds. The Platform may record payment-confirmation state for workflow gating as described above.
8. Account Integrity and Abuse Prevention
We may suspend accounts or restrict access when we believe it is necessary to protect users, the Platform, or to comply with applicable law, including for suspected abuse, fraud, or violations of these Terms.
9. Cancellations
- Voluntary Cancellation: A project may be canceled by mutual agreement between Client and Contractor. Cancellation is reflected in Platform records and may affect access to the workflow surfaces.
- Platform Cancellation: The Platform may cancel or suspend a project if it violates these Terms, is flagged for fraud, or otherwise poses a legal risk.
10. Issues and Support
The Platform may provide administrative support to keep projects and communications orderly, but it does not provide arbitration.
- Contact: For issues, contact support and provide relevant context (e.g., project ID, conversation ID).
11. Prohibited Activities
- Engaging in fraudulent behavior, money laundering, or other unlawful conduct.
- Violating intellectual property rights of others or posting unauthorized content.
- Attempting to bypass or manipulate Platform safeguards, limits, or access controls.
- Harassing, threatening, or defaming other users. Hate speech and other discriminatory content is strictly forbidden.
- Sharing login credentials or using another individual’s or organization’s account without permission.
12. Intellectual Property
- Your Content: You maintain ownership of all text, images, or other materials you upload or create, except where otherwise specified in a separate agreement.
- License to Use: By submitting content, you grant the Platform a limited, non-exclusive license to host, display, or reproduce that content solely for the purpose of operating or improving the Platform.
- Trademark Usage: All trademarks, logos, and service marks displayed on the Platform are either our property or licensed for our use. Users may not copy or use them without explicit written consent.
13. Data Protection & Privacy
Use of the Platform is also governed by our Privacy Policy. We do not use user-provided text, images, or videos to train any system. Data is only processed as necessary to fulfill transactions, provide services, handle disputes, or comply with applicable laws.
14. Disclaimer of Warranties
- The Platform is provided on an “AS IS” and “AS AVAILABLE” basis without any warranties of any kind, express or implied.
- We do not guarantee continuous, uninterrupted access to the Platform. Scheduled or emergency downtime may occur.
- Your use of the Platform and reliance on any information is at your sole risk.
15. Limitation of Liability
- To the fullest extent permitted by law, the Platform, its owners, employees, and affiliates shall not be liable for any indirect, consequential, or exemplary damages arising from or related to your use of the Platform.
- Our aggregate liability is limited to one hundred US dollars (USD 100).
16. Indemnification
You agree to indemnify and hold harmless the Platform, its affiliates, officers, agents, and employees from any claims, damages, losses, or liabilities (including legal fees) arising out of or related to your misuse of the Platform, violation of these Terms, or infringement of any rights.
17. Modifications to the Platform & Terms
- We reserve the right to modify these Terms at any time. Changes become effective upon posting on the Platform.
- Continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.
18. Termination
- We may suspend or terminate your account at any time for violation of these Terms or applicable laws, or if we deem it necessary for security or legal reasons.
- You may delete your account following the procedures on the Platform. Account deletion may be subject to a cooldown or data retention requirements for legal compliance.
- Termination does not absolve parties of any outstanding obligations they may have to each other.
19. Governing Law & Venue
- These Terms and any dispute arising hereunder shall be governed by and interpreted according to the laws of the applicable jurisdiction where the Platform is principally operated or as otherwise stated in any local addendum.
- You consent to personal jurisdiction and venue in courts located within that jurisdiction.
20. Miscellaneous
- Entire Agreement: These Terms, along with the Privacy Policy and any referenced agreements, constitute the entire understanding between you and the Platform.
- Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.
- Waiver: A failure to enforce any right or provision under these Terms shall not constitute a waiver of future enforcement.
- Force Majeure: We are not liable for failures or delays caused by events beyond our reasonable control.
